OVERVIEW

William graduated from the Chinese University of Hong Kong and obtained his Bachelor of Laws degree and Postgraduate Certificate in Laws (PCLL). He was admitted as a solicitor in the High Court of Hong Kong. He is proficient in English, Cantonese, Mandarin and Japanese.

 

William’s areas of practice cover corporate finance, IPOs, compliance matters of listed companies under the Main Board Listing Rules and GEM Listing Rules, mergers and acquisitions, and general corporate and commercial matters. In primary issues, he represents issuers and sponsors in initial public offerings on the main board and GEM of the Stock Exchange of Hong Kong Limited. He also represents issuers in secondary issues by way of placing of share, rights issue and subscription of shares and/or convertible securities. He also advises main board and GEM listed issuers in respect of the compliance with Listing Rules and Takeovers Code.

WORK HIGHLIGHTS
  • Representing China Everbright International Limited (stock code: 257) in a rights issue project that raise funds for a total of approximately HK$10 billion.

  • Representing Consun Pharmaceutical Group Limited (Stock code: 1681) on its share buy-back from its substantial shareholder First Kind Limited for a total consideration of HK$561 million. This transaction constitutes an off-market share buy-back under the Takeovers Code.

  • Representing China Yuen Capital Limited (as the offeror) in the mandatory conditional cash offer to acquire 64.26% of the issued shares of Kenford Group Holdings Limited (stock code: 464) for a total consideration of HK$458 million.

  • Representing Consun Pharmaceutical Group Limited (Stock code: 1681) on its acquisition of a Chinese medicine manufacturing enterprise in seven stages for a total consideration of over RMB1 billion. This series of transaction constitute discloseable transaction, major transaction and connected transaction under the Listing Rules in its different stages.

  • Advising Guotai Junan Capital Limited as the sole sponsor, in connection with the listing of Clifford Modern Living Holdings Limited (Stock Code: 3686) on the Main Board of the Hong Kong Stock Exchange.

  • Representing China U-Ton Holdings Limited (stock code: 6168) on its issuance of warrants which amounted to HK$590 million.
